Charlesbank Capital Partners has completed an undisclosed investment in Overbay Capital Partners, a Toronto secondaries manager with about $3 billion in AUM.

Charlesbank Capital Partners has closed an investment in Overbay Capital Partners, the Toronto-based secondaries private equity firm, according to PE Hub. Overbay has about $3 billion in assets under management, and the financial terms of the transaction were not disclosed.

The report did not specify the size of Charlesbank’s stake, the valuation assigned to Overbay, or the vehicle used to make the investment. It also did not identify any debt financing or co-investors tied to the deal.

PE Hub reported that Overbay’s team will remain significant long-term shareholders alongside Charlesbank. The firm will also retain control and independence over all investment activity, according to the report.

Governance remains with Overbay

The disclosed structure points to a minority-style partnership in which the existing manager continues to direct investment decisions. PE Hub did not report any changes to Overbay’s leadership, investment committee, board composition or day-to-day operations.

Rob McGrath serves as chief executive of Overbay, according to PE Hub. The firm was founded in 2016.

Secondaries platform

Overbay operates in the private equity secondaries market, where managers focus on existing private markets interests rather than newly originated primary commitments. Such strategies are used by investors seeking exposure to more seasoned private equity assets, and by sellers seeking liquidity before a fund’s normal end date.

The Charlesbank investment adds an external shareholder to Overbay while leaving the manager’s investment authority intact, according to PE Hub’s account of the transaction. The report did not provide details on Overbay’s fund lineup, recent fundraising, portfolio composition or geographic investment focus beyond its Toronto base.

For private markets participants, the disclosed terms leave the economic impact of the transaction unclear. The available details establish three points: Charlesbank has completed the investment, Overbay’s management team remains materially invested, and the firm’s investment operations continue under Overbay’s control.
