American Industrial Partners has completed the AIP Intelligrated acquisition, buying the Mason, Ohio-based provider of material handling and warehouse automation solutions from Honeywell Technologies, according to PE Hub. The transaction places Intelligrated with Transnorm and Trew in a combined warehouse automation platform led by Alfred Rebello as chief executive.
The deal adds another operating business to the AIP portfolio and gives the firm a group of companies focused on warehouse systems. AIP said it will bring together Intelligrated, including Transnorm, with Trew as part of the platform.
What is included in the AIP Intelligrated acquisition?
The acquisition covers Intelligrated, a company based in Mason, Ohio, that provides material handling and warehouse automation solutions. AIP said Intelligrated’s capabilities, including Transnorm, will be combined with Trew under a broader warehouse automation platform.
Material handling refers to the equipment and systems used to move, sort and handle goods within facilities. Warehouse automation applies technology and equipment to those processes, which can be central to distribution, fulfillment and industrial operations.
Murray Grainger, a partner at AIP, said the firm was pleased to welcome Intelligrated to its portfolio and to start the next stage for Intelligrated, Trew and Transnorm. He described the three businesses as highly complementary and cited their technology, customer relationships, installed bases and teams, according to PE Hub.
Alfred Rebello serves as chief executive of the combined platform. The reporting did not list other management appointments for the group.
Who advised AIP on the transaction?
Evercore served as AIP’s exclusive financial adviser on the deal. Ropes & Gray LLP advised AIP on transaction and financing matters, while Baker Botts LLP acted as regulatory counsel.
The role of financial advisers in a buyout often includes advising on deal structure, negotiations and execution. Transaction counsel handles the legal agreements and financing documentation, while regulatory counsel addresses approvals and compliance issues tied to the transaction.
Honeywell Technologies was identified as the seller of Intelligrated. No purchase price, financing terms or closing conditions were reported in the announcement covered by PE Hub.
The combined platform brings together three businesses under AIP at a time when warehouse automation remains a significant area of focus for industrial operators seeking more efficient material flows. AIP has not detailed further integration steps beyond combining the capabilities of Intelligrated, Transnorm and Trew.
