B Capital-led group agrees to buy Russell Investments

An investor group led by B Capital has agreed to acquire Russell Investments, the Seattle-based investment solutions provider, from TA Associates and Reverence Capital, PE Hub reported. The report did not disclose the transaction value, financing structure, expected closing date or the other members of the buyer group.

Russell Investments will continue to operate as an independent company after the deal closes, PE Hub reported. The firm’s existing leadership team is also expected to remain in place, led by Zach Buchwald, chairman and chief executive, and Kate El-Hillow, president and chief investment officer.

The proposed transaction marks a change in ownership for a firm that TA Associates and Reverence Capital have backed since 2016, according to PE Hub. The report said the two firms originally partnered with Russell Investments that year.

For asset-management and investment-solutions businesses, ownership changes can affect strategic priorities, distribution, technology spending and capital allocation. In this case, the reported plan for Russell Investments to remain independent under its current executives points to continuity in day-to-day control, although PE Hub did not report further details on governance or board composition after closing.

A B Capital-led acquisition would place Russell Investments under a new controlling investor group. In a private acquisition, buyers typically purchase equity interests from existing owners, while the acquired company may retain its operating structure, brand and management if the parties agree to do so. PE Hub reported that Russell Investments’ independent operating model and leadership continuity are part of the expected post-closing arrangement.

The limited details released leave several transaction terms unresolved for market observers. PE Hub did not report whether the buyer group will use debt financing, whether the sellers will retain any stake, or whether regulatory or other approvals are required before completion.

Russell Investments is described by PE Hub as an investment solutions provider. The company’s client-facing position in asset allocation and investment implementation makes ownership stability relevant for institutional investors, intermediaries and other counterparties that rely on continuity in portfolio oversight and operational processes.

TA Associates is a private equity firm, while Reverence Capital is a financial-services-focused investment firm. Their planned exit, as reported by PE Hub, follows their 2016 partnership with Russell Investments and would transfer ownership to the B Capital-led consortium once the transaction closes.
