Bregal Sagemount agrees majority investment in ATOZ Services
The growth investor will take control of the Luxembourg fund services platform, with ATOZ Group and ICG retaining minority holdings.

Bregal Sagemount has agreed to become the majority shareholder of ATOZ Services, a Luxembourg-based fund services platform serving private markets clients. ATOZ Group and ICG, the company’s current backers, will remain minority investors, according to a statement.
The transaction is subject to regulatory approval and other customary closing conditions. Financial terms were not disclosed.
ATOZ Services provides services tied to fund-linked special purpose vehicles, fund administration, and governance, risk and compliance functions. Its client base spans more than 800 private equity, private credit and real estate clients, according to the statement.
The deal gives Bregal Sagemount exposure to the operating infrastructure behind private funds, where administrators and compliance providers support managers with regulated processes, vehicle maintenance and fund operations. For clients, these services sit outside portfolio management but are central to the execution and administration of fund structures.
Investment aimed at expansion and technology
Proceeds from the investment are intended to support ATOZ Services’ international expansion and acquisition strategy, the statement said. The company also plans to invest further in artificial intelligence and enter additional geographic jurisdictions.
ATOZ Services was founded in 2018 as part of ATOZ Group. The business now employs nearly 300 staff across Luxembourg, Morocco and the United Kingdom, according to the statement.
In recent years, ATOZ Services has expanded its regulated fund administration capabilities, established a UK presence and broadened its fund governance, risk and compliance offering. Those areas are increasingly relevant for alternative asset managers operating across jurisdictions, where fund vehicles, investor reporting and compliance obligations require specialist administrative support.
A majority investment gives Bregal Sagemount control of the shareholder base while leaving ATOZ Group and ICG with continuing economic participation through minority stakes. Such structures can allow existing owners to retain exposure to future growth while bringing in a new lead investor to fund expansion and acquisitions.
Advisers named
Goodwin Procter served as legal counsel to Bregal Sagemount on the transaction. Baird acted as exclusive financial adviser to ATOZ Services, which was also represented by A&O Shearman, according to the statement.
Bregal Sagemount is a growth-focused private equity firm. ATOZ Services is described in the statement as an independent fund services platform based in Luxembourg.
