Dentalcorp buys Northstar Dental Partners in first US acquisition
GTCR-backed Dentalcorp acquired Florida-based Northstar Dental Partners, marking its first US deal as terms were not disclosed.

Dentalcorp acquired Northstar Dental Partners, giving the GTCR-backed dental support organization its first acquisition in the US, PE Hub reported. Financial terms were not disclosed for the transaction, which adds a Boca Raton, Florida-based group of dental practices to a Toronto-based platform that supports more than 650 practices and nearly 6 million patient visits a year.
The Dentalcorp Northstar Dental Partners deal extends a Canadian dental support model into the US market. Dentalcorp is backed by GTCR, the Chicago-based private equity firm, according to PE Hub.
Northstar founder and CEO Dr. Jordan Tomalty will keep an ownership stake in the business after the acquisition, PE Hub reported. The retained stake means Tomalty remains economically tied to the company following the change in control.

Dentalcorp used several advisers on the acquisition. PE Hub reported that McDermott Will & Schulte LLP acted as legal counsel, while Plante Moran served as financial adviser.
Baker Tilly, KPMG and Marwood advised Dentalcorp on tax, commercial and regulatory matters, respectively. Weil, Gotshal & Manges LLP, Goodmans LLP and Latham & Watkins LLP also advised Dentalcorp on related corporate matters, PE Hub reported.
Northstar Dental Partners was advised by Greenberg Traurig and Galvan Messick, which served as legal counsel to the company.
