Surplus Solutions LLC, a portfolio company of NMS Capital, has acquired DCM BioServices, PE Hub reported. The parties did not disclose financial terms for the transaction, leaving the purchase price, valuation and financing mix outside the public record.

DCM BioServices is based in Frederick, Maryland, and provides maintenance, repair, technical support and integration services for laboratory automation, according to PE Hub. The company services more than 3,000 instruments in more than 200 laboratories nationwide.

Deal details

The acquisition brings DCM BioServices under Surplus Solutions, an NMS Capital-backed company. PE Hub did not report additional terms, including whether the deal included debt financing, an equity contribution, earnouts, management changes or external advisers.

In a private company acquisition, the buyer takes ownership of the target under terms agreed by the parties. When those terms are not disclosed, outside investors and competitors cannot assess transaction multiples or compare the consideration with other healthcare services deals using the reported information alone.

DCM BioServices profile

DCM BioServices was founded in 2011, PE Hub reported. Its service lines address laboratory automation equipment after installation, including repairs and technical support, as well as integration work for instruments used across laboratory settings.

The company’s reported service base, more than 3,000 instruments across more than 200 laboratories, points to a national operating footprint. PE Hub identified the business as a provider serving the healthcare technology and laboratory automation market.

NMS Capital is the private equity sponsor behind Surplus Solutions, according to PE Hub. No further information was reported on Surplus Solutions’ operating plans for DCM BioServices following the acquisition.
