Tayeh Capital takes majority stake in Council Advisors

Tayeh Capital Council Advisors activity moved into private equity deal flow as Tayeh Capital Group made a majority investment in the New York City-based C-suite advisory firm, PE Hub reported. Financial terms of the transaction were not disclosed, leaving the size of the stake and valuation outside the public record.

Council Advisors, also referred to as CA, advises senior executives and boards. The firm has more than 160 professionals across three practice groups: SSA & Company, The Miles Group and High Lantern Group, according to PE Hub.

Dave Niles is co-founder and chief executive officer of Council Advisors. The firm was established in 2004.

A majority investment generally gives the buyer control of more than half of a company’s equity, although the specific governance rights and ownership structure depend on the transaction documents. In this case, PE Hub reported only that Tayeh Capital Group made a majority investment and that the parties did not disclose financial terms.

The deal places Tayeh Capital Group behind an advisory business focused on the C-suite and boardroom market, where clients seek outside support on leadership, operations and communications issues. Council Advisors’ three practice groups indicate a diversified professional services model rather than a single-service consulting firm.

Dave Tayeh, co-founder and managing partner of Tayeh Capital Group, said senior executives need advisers during periods of change and pointed to Council Advisors’ three service lines and record of work with C-suites and boards. His comments framed the investment around demand for counsel on consequential corporate issues.

Houlihan Lokey served as exclusive financial adviser to Council Advisors on the transaction, PE Hub reported. Willkie Farr & Gallagher LLP acted as legal counsel to Tayeh Capital Group, while Vedder Price P.C. acted as legal counsel to Council Advisors.

The parties did not disclose additional information on financing, management changes, closing conditions or future operating plans. Council Advisors continues to be identified with Niles as co-founder and CEO, according to the details reported by PE Hub.
