CapVest Partners has completed the acquisition of a majority stake in TSG Solutions, PE Hub reported, adding a European energy infrastructure services business with annual revenue of more than €1.4 billion to the private equity firm’s portfolio.

TSG provides technical services for critical energy infrastructure across the asset lifecycle, including design, engineering, installation and commissioning, according to PE Hub. CapVest had announced the transaction in February.

Majority control of an infrastructure services platform

A majority stake gives the buyer control over more than half of a company’s equity ownership. In private equity transactions, that structure typically allows the new owner to direct corporate strategy, capital allocation and operational priorities, subject to the terms agreed with management, minority shareholders and lenders.

PE Hub described TSG Solutions as a European provider of end-to-end lifecycle services. That means the company works across several stages of infrastructure projects, from planning and technical design through installation and the point at which assets are commissioned for use.

The transaction places CapVest in a segment tied to energy systems that require installation, maintenance and technical support. PE Hub categorised the deal within energy and power.

PE Hub reported that the deal values TSG at around €1.75, though the available report did not provide a complete unit for that valuation figure. No additional financial terms were disclosed in the available details.
