Wynnchurch Luxfer acquisition sets take-private price at $17.37 a share
Wynnchurch Capital agreed to buy Luxfer for $17.37 a share, taking the Riverside industrial materials company private by end-2026.

The Wynnchurch Luxfer acquisition will take the Riverside, California-based industrial company private at $17.37 a share, according to PE Hub. The transaction, if completed as expected before the end of 2026, would move Luxfer from public ownership into the portfolio of Wynnchurch Capital.
Luxfer develops niche applications in materials engineering. PE Hub identified the company as an industrial business and said Andy Butcher serves as its chief executive officer.
Wynnchurch Capital is a private equity firm. In a take-private transaction, a buyer acquires the publicly held shares of a company, and the target ceases to trade as a listed company after the deal closes. The per-share price is the cash amount shareholders are set to receive for each share they hold, subject to completion of the transaction.

Greg Gleason, managing partner at Wynnchurch, said Luxfer is an advanced materials business with technical capabilities, metallurgical expertise and products used in aerospace, defense and demanding industrial end markets. He said Wynnchurch plans to support the company with long-term capital, operating resources and sector knowledge.
The transaction adds to private equity interest in specialist industrial and manufacturing assets, particularly companies with engineering capabilities that serve end markets where product performance and reliability are central to customer demand. PE Hub did not report a total transaction value, financing details, board approvals, shareholder vote requirements or regulatory conditions.
Luxfer’s materials engineering focus places it in a segment where industrial companies often compete through proprietary processes, product certification and technical know-how. In sectors such as aerospace and defense, suppliers may face demanding customer standards and long qualification cycles. PE Hub attributed Wynnchurch’s interest in part to Luxfer’s technical and metallurgical capabilities.

PE Hub reported that Deutsche Bank Securities Inc. is serving as Luxfer’s exclusive financial adviser. Fried, Frank, Harris, Shriver & Jacobson LLP is acting as legal adviser to Luxfer.
Wynnchurch is being advised by Lazard as exclusive financial adviser. Kirkland & Ellis LLP is serving as legal adviser to Wynnchurch, according to PE Hub.
The expected closing timeline leaves a substantial period before completion, during which the parties would typically work through the remaining steps required for a take-private deal. PE Hub did not provide further details on those steps or on Luxfer’s trading history before the announcement.
